Terms and Conditions of Use
1. Introduction
kent.co.uk is a social networking service aimed at consumers and businesses located or interested in the county of Kent.
These terms and conditions set out your rights and obligations, and those of kent.co.uk ("kent.co.uk", "we" or "us"), which is owned and operated by Your Web Place Ltd, Whitecliffs Business Centre, Honeywood Road, Whitfield, Kent, CT16 3EH, a Company Limited by Guarantee under registration number 07046836 whose registered office is 37 St Margaret's Street, Canterbury, Kent CT1 2TU, in relation to use of the social networking services offered by us (“the Service”).
By accessing or using our Service at www.kent.co.uk (the "Site") or by posting a link or button to www.kent.co.uk on your site, you (the "User") signify that you have read and understand this Agreement and Conditions of Use (the "Agreement") and accept and agree to be bound by them, whether you simply browse the kent.co.uk Site without being registered (a “Visitor”) or you register with kent.co.uk (a “Member”).
You may access the Service through our website at http://www.kent.co.uk/, or any other websites specified by us from time to time including a Mobile version of the Service, (our “Website”).
If you do not wish to be legally bound by the Agreement you must not use or access the Websites or the kent.co.uk Service If you wish to make use of the kent.co.uk Service or become a Member, then you must read the Agreement and indicate your acceptance during the Registration process.
We reserve the right to change the Agreement in our sole discretion from time to time and any such modification shall be effective upon posting by us on the kent.co.uk Website. Your continued use of the kent.co.uk Service after we post a revised Agreement signifies your acceptance of the revised Agreement. It is therefore important that you review the Agreement regularly to ensure you are updated as to any changes. If you do not wish to be legally bound by any future amended Agreement then do not continue to use or access the kent.co.uk Service.

2. Eligibility
You must be at least 13 years of age to use the kent.co.uk Service. By registering for the Service, you represent and warrant that you are 13 or older and that you have the capacity to understand, agree to and comply with this Agreement. You must not use the kent.co.uk Service if you are under 13 years of age. Parents and guardians will be held strictly responsible for any use of the Service by a minor who is their responsibility.
Your profile on kent.co.uk may be deleted and your Membership may be terminated without warning, if we believe that you are under 13 years of age, if we believe that you are under 18 years of age and you represent yourself as 18 or older, or if we believe you are over 18 and represent yourself as under 18.
We may in our sole and absolute discretion refuse your application for membership or your order for any reason without any liability to you.
Please choose carefully the information you post on or through the kent.co.uk Service and that you provide to other Users. Your kent.co.uk profile may not include any form of prohibited Content and must meet the terms of Acceptable Use, as outlined in Section 6 below.
3. Term of Agreement
This Agreement shall remain in full force and effect while you use the kent.co.uk Service or are a Member. You may terminate your Membership at any time, for any reason, by following the instructions on the Member's Settings page, which will remove your profile and other personal information from view. The conditions contained within the Agreement shall survive any termination of your membership.
We may terminate your membership immediately at any time, for any reason and without any liability to you. Once your membership terminates, you will have no right to use the kent.co.uk Service.
4. Security
You should provide true, accurate and complete registration information to be a Member. In consideration of your use of the Site, you agree that you are entirely responsible for maintaining the confidentiality of the password you provide when joining the site. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify kent.co.uk immediately if you suspect any unauthorised use of your account or access to your password. You agree to be fully responsible for all use of your account and for any actions that take place using your account.
We may refuse to grant you a username that impersonates someone else, is or may be protected by trademark or intellectual property law, or is offensive or otherwise inappropriate, as determined by us in our sole discretion.
5. Intellectual Property
kent.co.uk does not claim any ownership rights to the text, files, images, photos, video, groups, places, events or any other materials (“Content”) that you post or submit to the kent.co.uk Websites using the Service.
After submitting, posting or displaying Content on or through the kent.co.uk Service, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose. You are solely responsible for creating backup copies and replacing any Content you post or store on the kent.co.uk Site.
By submitting, posting or displaying any Materials on or through the Service, you hereby grant to kent.co.uk a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such Materials solely in connection with the Service or the promotion thereof, except that any Content marked “private” will not be distributed outside the kent.co.uk Website. This limited license does not grant kent.co.uk the right to sell your Content outside of the Service.
The license you grant to kent.co.uk is non-exclusive in that you are free to license your Content to anyone else in addition to kent.co.uk, fully-paid and royalty-free in that kent.co.uk is not required to pay you for the use of the Content you post on the kent.co.uk Service.
You represent, warrant and covenant that you own the Content posted by you on or through the kent.co.uk Service or otherwise have the right to grant the license set forth in this Section, and that the posting of your Content does not violate any applicable laws, including but not limited to the privacy rights, publicity rights, intellectual property rights, copyrights, contract rights or any other rights of any person or entity. You agree to pay for all royalties, fees, and any other monies owing to any person or entity by reason of any Content posted by you on or through the kent.co.uk Services.
All content on the Site and available through the Service, including, are the proprietary property of the Company, its Users or its licensers with all rights reserved. No Site Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted or sold in any form or by any means, in whole or in part, without the Company's prior written permission, except that the foregoing does not apply to your own User Content that you post on the Site.
The kent.co.uk Service contains designs, text, graphics, photographs, video, information, applications, software, music, sound and other files posted by kent.co.uk (the "Site Content") and this Content is protected by copyright and trademark law. kent.co.uk hereby grants you a limited, revocable, nonsublicensable license to reproduce and display Site Content (excluding any software code) solely for your personal use in connection with viewing the Website and using the Service. Except as expressly authorized by kent.co.uk, you may not copy, modify, publish, transmit, distribute, perform, display or sell any of kent.co.uk’s proprietary information
6. Acceptable Use
You agree to abide by all applicable national and international laws and regulations and are solely responsible for all acts under your account including Content you post onto the Website.
In addition, you also agree not to carry out any kind of prohibited activity on the Website or using the Service. By way of example you agree NOT to:
• Act in an offensive manner or promote racism, bigotry, hatred or physical harm of any kind against any group or individual;
• Publish, distribute or promote any harmful, obscene, indecent, unlawful, libelous, profane, defamatory, infringing, inappropriate or hateful material or information;
• Defame, libel, abuse, harass, stalk, threaten or otherwise violate the rights of others;
• Violate the privacy rights, copyrights, trademark rights, contract rights or any other rights of any person, including providing pirated computer programs or music, music files or links to them;
• Post any photograph or video of another person without that person's consent;
• Solicit passwords or personal data for commercial or unlawful purposes from other Users;
• Promote commercial activities and/or sales without prior written consent from kent.co.uk such as contests, sweepstakes, barter, advertising, or pyramid selling schemes;
• Further or promote any criminal activity or enterprise or provide instructional information about illegal activities;
• Post any Content containing nudity, sexual acts, excessive violence, or patently offensive subject matter, or post a link to a website containing such Content;
• Solicit personal information from anyone under the age of 18;
• Publicly post information that poses or creates a privacy or security risk to any individual;
• Promote or transmit unsolicited marketing materials including mass mailings, ‘junk mail’ or ‘spam’;
• Promote propaganda, views and/or symbols of organisations which are illegal;
• Create an intentionally false or misleading identity or profile, or purport to be an employee, agent or representative of kent.co.uk;
• Harvest or collect email addresses or other personal data and contact information of other Members by electronic or other means;
• Use the Service or the Site in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Site.
You understand and agree that kent.co.uk may, but is not obliged to, review the Site and may investigate, delete or remove without notice any Content which in its sole discretion, violates this Agreement and terminate the account of any Member’s account used for said purposes.
7. Copyright Infringement
kent.co.uk respect the intellectual property rights of other individuals or organisations and under our Agreement our Members are prohibited from posting Content which violates any intellectual property or trademark legislation.
If you believe that Content posted on kent.co.uk infringes any intellectual property, copyright or trademark which you own or control, please send kent.co.uk details of your claim including identification of the claimed infringement on kent.co.uk, evidence of your ownership of the intellectual property, and your contact details.
8. Privacy
Use of the kent.co.uk Service is governed by our Privacy Policy, which is incorporated into this Agreement by this reference.
9. Indemnity
You agree to indemnify and hold kent.co.uk, its owners, subsidiaries and affiliates, and each of their directors, employees, agents or contractors, harmless from and against any loss, liability, legal fees, arising out of or in connection with any Content, Third-Party Applications, Software or Content you post or share on or through the kent.co.uk Site, your use of the Service or the Site, your conduct in connection with the Service or the Site or with other users of the Service or the Site, or any violation of this Agreement or of any law or the rights of any third party.
10. Disclaimers
kent.co.uk is not responsible for the accuracy and reliability of the Content posted on or through the kent.co.uk Service, whether caused by Users of the kent.co.uk Service or by any of the equipment or programming utilised in providing the kent.co.uk Service.
Content on kent.co.uk may contain links to other websites. kent.co.uk is not responsible for the content, accuracy or opinions expressed on such websites, and such websites are not necessarily investigated, monitored or checked for accuracy or completeness by kent.co.uk. Inclusion of any linked website on the kent.co.uk Services does not imply approval or endorsement of the linked website by kent.co.uk. When you access these third-party sites, you do so at your own risk.
kent.co.uk takes no responsibility for third party advertisements that are posted on or through the kent.co.uk Service, nor does it take any responsibility for the goods or services provided by its advertisers.
kent.co.uk is not responsible or liable in any manner for any Content posted on the Site or in connection with the Service, whether posted or caused by users of the Site, by kent.co.uk, by third parties or by any of the equipment or programming associated with or utilised in the Site or the Service. The views expressed in any Content which is uploaded by you or other Members of the kent.co.uk Service do not reflect the views of kent.co.uk. We make no promises and offer no guarantees as to the accuracy of any Content, and expressly disclaims that the Content of the kent.co.uk Service input by other Members is correct or accurate.
The kent.co.uk Service is provided on an 'as is' and 'as available' basis and grants no warranties of any kind, expressed, implied, statutory, in any communication with kent.co.uk or its representatives, or otherwise with respect to the service. We do not guarantee which aspect of the kent.co.uk Service will be available. We cannot promise that the kent.co.uk Service will be accurate, free from errors or omissions nor that it will be available uninterrupted and in a fully operating condition.
The kent.co.uk Service may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons reasonably beyond our control. In this Agreement, an “event beyond our control” shall include, without limitation, strikes, lock-outs or other industrial disputes, nuclear accident or acts of God, war or terrorist activity, riot, civil commotion, malicious damage, compliance with any law or government order, rule regulation or direction, accident or breakdown of plant or machinery, fire, flood, storm or default of suppliers, and where they are beyond our reasonable control, any other acts, events, omissions or accidents. We will not be liable to you or to any other person in the event that all or any part of the kent.co.uk Service is discontinued, modified or changed in any way.
This Agreement shall not make us responsible for any damage or loss (including loss of profits, revenue or business) caused to you where such damage or loss is not reasonably foreseeable to you and us when you use the kent.co.uk, including where the damage or loss results from our breach of this Agreement.
Nothing in this Agreement shall exclude or limit our liability to the user for death or personal injury resulting from the negligence of kent.co.uk or that of the employees or agents of kent.co.uk or any liability which is due to our fraud or any other liability which we are not permitted to exclude or limit as a matter of law.
If any term is held to be invalid, unlawful or unenforceable, it shall not affect the enforceability of any of the remaining terms
Limitation of liability: In no event will kent.co.uk or its employees or agents be liable to you or any third person for any incidental, consequential, or indirect damages including, but not limited to, damages for any lost profits or loss of data, loss of programs, cost of procurement of substitute services or service interruptions arising from your use of the site or the service, even if the company is aware or has been advised of the possibility of such damages.
Our liability to you for any loss or damage in connection with this Agreement shall be limited to the amount paid, if any, by you to company for the service during the term of membership.
YOU AGREE THAT YOUR USE OF THE kent.co.uk SERVICE IS ENTIRELY AT YOUR OWN RISK.
11. Assignment
You agree that we may transfer our rights or obligations or sub-contract our obligations under this Agreement to another other legal entity, provided that this will not affect the standard of Service you receive under this Agreement, and in the case of transfer only, after we notify you of the date on which we will transfer our rights and obligations under this Agreement to another legal entity, your only rights under or in connection with this Agreement will be against the new legal entity and not against us. This Agreement is personal to you. You may not transfer your rights or obligations under this Agreement to anyone else.
12. Law
This Agreement is available in English only. We will do our best to resolve any disputes over this Agreement. If you wish to take court proceedings against us you must do so within the United Kingdom. Relevant United Kingdom law will apply.
